Raytools Intelligence (Shanghai) Co., Ltd. (hereinafter referred to as "the Company") hereby specifically reminds you (hereinafter referred to as the "User") to read carefully and fully understand this "Service Agreement" (hereinafter referred to as the "Agreement"):
· This "Agreement" is an agreement between you and the Company regarding user registration, login, and use of the services of [" xChat "] (hereinafter referred to as "this Software"). This "Agreement" describes the rights and obligations between the Company and the User concerning the services of this Software. "User" refers to any individual or organization that registers, logs in, uses, or browses this service.
· The User should carefully read and fully understand all clauses of this "Agreement", including clauses that exempt or limit the Company's liability and clauses that restrict the User's rights. Please read this "Agreement" carefully and decide whether to accept it or not (minors should read it accompanied by their legal guardian). Unless you accept all clauses of this "Agreement", you have no right to register, log in, or use the related services covered by this agreement. Your acts of registration, login, use, etc., will be deemed as acceptance of this "Agreement" and agreement to be bound by its various clauses.
· This "Agreement" may be updated by the Company at any time. Once the updated agreement terms are published, they replace the original agreement terms, and no separate notice will be given. Users can check the latest version of the agreement terms on this website. After the Company modifies the clauses of the "Agreement", if the User does not accept the modified clauses, please immediately stop using the services provided by the Company. Continued use of the Company's services will be deemed as acceptance of the modified agreement.
I. Service Rules
1. User Responsibility
The User fully understands and agrees that this Software only provides a platform for information sharing, transmission, and acquisition. The User must be responsible for all actions under their registered account, including any content transmitted and any consequences arising therefrom. The User should judge the content in this Software on their own and bear all risks arising from the use of the content, including risks arising from reliance on the correctness, completeness, or practicality of the content. The Company cannot and will not be liable for any loss or damage caused by the User's behavior.
2. Content Responsibility
Any content transmitted by the User through this Software service or via this Software service does not represent or imply the views or policies of the Company, and the Company bears no responsibility for this.
3. Address Book and Registration Information
The User fully understands and agrees that this Software is a product involving the User's mobile phone address book. The User must bear full responsibility for the authenticity, legality, and validity of the registration information on this Software. The User must not impersonate others; must not use another's name to spread any information; must not maliciously use a registered account causing other users to mistake their identity; otherwise, the Company has the right to immediately stop providing services, reclaim the Software account, and the User shall bear all legal liabilities arising therefrom alone.
4. Information Liability
The User must bear full responsibility for the authenticity, legality, validity, etc., of the information transmitted on this Software. Any legal liability related to the information disseminated by the User shall be borne by the User alone and is unrelated to the Company.
5. Service Modification
The Company reserves the right, due to business development needs, to unilaterally change, suspend, restrict, terminate, or revoke all or part of the service content of this Software at any time without any notice. The User bears this risk.
6. Advertisements
The services provided by this Software may include advertisements. The User agrees to display advertisements provided by this Software and by third-party suppliers and partners during use and waives any claim to advertising fees or revenue from the Company.
7. Prohibited Content
The User must not use this Software or its services to produce, upload, copy, or send the following content:
1. Opposing the basic principles established by the Constitution;
2. Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
3. Harming national honor and interests;
4. Inciting ethnic hatred, ethnic discrimination, or undermining national unity;
5. Undermining national religious policies, promoting cults and feudal superstitions;
6. Spreading rumors, disturbing social order, or undermining social stability;
7. Spreading obscenity, pornography, gambling, violence, murder, terror, or instigating crime;
8. Insulting or slandering others, infringing upon the lawful rights and interests of others;
9. Information containing other content prohibited by laws and administrative regulations.
8. Enforcement Rights
The Company may, at its reasonable discretion, take action against content that violates relevant laws and regulations or the provisions of this agreement; or infringes, obstructs, or threatens anyone's rights or safety, or constitutes impersonation. The Company has the right to legally stop the transmission of any such content and has the right to take appropriate legal action against any person violating these terms at its sole discretion, including but not limited to, deleting illegal, infringing, or inappropriate content from this Software service, terminating the membership of violators, preventing them from using all or part of this Software's services, and preserving relevant information and reporting to relevant departments in accordance with laws and regulations.
II. User Rights and Obligations
1. Account Ownership
Ownership of this Software account belongs to the Company. After completing the application and registration process, the User obtains the right to use this Software account. If the User gifts, lends, rents, transfers, or sells the account usage right without the Company's permission, all consequences shall be borne by the User. The Company has the right to reclaim the User's Software account due to operational needs.
2. Profile Management
The User has the right to change or delete personal data, registration information, and transmitted content on this Software. However, please note that deleting relevant information will also delete any text and pictures stored in the system. The User bears this risk.
3. Account Security
The User is responsible for properly safeguarding the security of the registered account information and account password. The User needs to bear legal responsibility for actions under the registered account and password. The User agrees not to use another member's account or password under any circumstances. If the User suspects someone else is using their account or password, they agree to notify the Company immediately.
4. Compliance
The User shall comply with all terms of this agreement and use this service correctly and appropriately. If the User violates any terms of this agreement, the Company has the right to terminate the provision of services to the breaching User's Software account in accordance with the agreement. Simultaneously, the Company reserves the right to reclaim the Software account and username at any time.
5. Inactive Accounts
If the User does not log into their Software account for a long time after registration, the Company has the right to reclaim the account to avoid resource waste. Any problems arising therefrom shall be borne by the User.
III. Privacy Protection Policy
Definition: The User agrees that personal privacy information refers to information that can personally identify the User or involves personal communication, including the following information: the User's real name, ID number, mobile phone number, IP address. Non-personal privacy information refers to basic record information clearly and objectively reflected on the Company's server regarding the User's operational status and usage habits, and other ordinary information outside the scope of personal privacy information, as well as the above privacy information that the User agrees to disclose.
2. Privacy Policy Application
The User agrees that when using this Software service, they are also bound by the Company's privacy policy. Without the User's permission, the Company will not disclose or share the User's personal privacy information, nor any content in the address book, with any third party. Protecting User (especially minors) privacy is a fundamental policy. Therefore, if parents (guardians) wish minors (especially children under ten) to use this service, they must apply for registration in the name of the parent (guardian). When receiving this Software service, they should judge whether this Software service is suitable for the minor in their capacity as a legal guardian. To prevent impersonation for registration, this Software will verify mobile phone numbers via SMS and assist Users in registering accounts. SMS fees generated by registration and invitations will be charged by the operator; this Software will not charge any fees.
IV. Trademarks of this Software
The graphics, text or their composition, and other Company logos and product and service names involved in this Software service are trademarks of the Company. Without the prior written consent of the Company, the User may not display, use, or otherwise handle the Company's logo in any way, nor indicate to others that you have the right to display, use, or otherwise handle the Company's logo .
V. Legal Liability and Disclaimer
1. User Indemnification
If the User violates the provisions of this "Agreement" or related service terms, causing or resulting in any claims, demands, or losses asserted by any third party, including reasonable attorney fees, the User agrees to compensate the Company, its cooperative companies, and affiliated companies, and hold them harmless.
2. Third-Party Issues
The Company and cooperative units are not liable for any losses suffered by the User due to third-party reasons such as communication line failures of telecom departments, technical problems, network, computer failures, system instability, and various other force majeure reasons.
3. Technical Failures
If force majeure events such as technical failures affect the normal operation of the service, the Company and cooperative units undertake to cooperate with relevant units and handle repairs promptly, but the Company and cooperative units are not liable for any losses suffered by the User as a result.
4. Internet Security
Like most internet services, this service is subject to varying factors including but not limited to user reasons, network service quality, and social environment, and may be subject to various security issues, such as others using the User's information causing harassment in real life; other software downloaded and installed by the User or other websites visited containing viruses such as "Trojan horses", threatening the security of the User's computer information and data, thereby affecting the normal use of this service, etc. The User should enhance awareness of information security and protection of user data, pay attention to strengthening password protection to avoid losses and harassment.
5. Service Risks
The User must understand that using this service involves Internet services and may be affected by unstable factors at various stages. Therefore, this service carries risks of service interruption or failure to meet User requirements due to force majeure, computer viruses or hacker attacks, system instability, the User's location, the User shutting down, and any other technical, internet, communication line reasons, etc. The User bears the above risks, and the Company provides no guarantee. The Company bears no responsibility for resulting inability to send or receive information, or sending/receiving incorrect information.
6. Content Risks
The User must understand that during the use of this service, there is a risk of encountering anonymous or i mpersonating information from any others, including threatening, defamatory, offensive, or illegal content or behavior, or infringement of others' rights (including intellectual property rights). The User bears the above risks. The Company and cooperative companies provide no warranties of any type for this service, whether express or implied, including all implied warranties and conditions regarding information truthfulness, merchantability, fitness for a particular purpose, ownership, and non-infringement. They bear no responsibility for any direct, indirect, incidental, special, or consequential damages resulting from the User's improper or illegal use of the service.
7. Intellectual Property
Information content defined by the Company includes: text, software, sound, photos, videos, graphics; all content in advertisements; commercial information provided by the Company to Users. All such content is protected by copyright, trademark rights, and other intellectual property and ownership laws. Therefore, the User may only use this content under authorization from the Company and advertisers, and may not copy, modify, compile this content, or create derivative products related to the content without authorization.
8. Limitation of Liability
Under no circumstances shall the Company be liable for any indirect, consequential, punitive, incidental, special, or exemplary damages, including loss of profits suffered by the User due to using this Software service (even if the Software has been advised of the possibility of such losses). Notwithstanding any contrary provisions that may be contained in this agreement, the Company's total liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to the Company for the Software services during the term of membership.
VI. Other Terms
1. Important Notice
The Company solemnly reminds Users to pay attention to the clauses in this "Agreement" that exempt the Company's liability and place additional obligations on the User. Please read carefully and consider the risks independently. Minors should read this "Agreement" accompanied by their legal guardian. The final right of interpretation and modification of the above clause content belongs to the Company.
2. Severability
If any part or whole of any clause stipulated in this "Agreement" is invalid, it does not affect the validity of other clauses.
3. Governing Law and Jurisdiction
The place of signing for this "Agreement" is Songjiang District, Shanghai. The interpretation, validity, and resolution of disputes of this "Agreement" shall be governed by the laws of the People's Republic of China. If any dispute or controversy arises between the User and the Company, it shall first be resolved through friendly negotiation. If negotiation fails, the User hereby fully agrees to submit the dispute or controversy to the competent people's court in the location of the Company's domicile, i.e., Shanghai.
4. Copyright
The copyright of this "Agreement" belongs to the Company. The Company reserves all rights of interpretation and modification.
